Description of the Business Line or Department

This role is an Apprentice role and we will sponsor relevant qualifications funded by the apprenticeship Levy.

The Kleinwort Hambros Group is part of the wider Société Générale (SG) group of companies. The Kleinwort Hambros Company Secretariat team is responsible for delivering timely, value adding company secretarial support and providing advice on company secretarial and corporate governance matters within the Kleinwort Hambros Group in the UK, Channel Islands and Gibraltar and to the wider SG network. The Company Secretariat team supports the boards of all the companies within the Kleinwort Hambros Group, including a number of banks and regulated entities. It also supports the senior management team and the board and management level committees. 


Summary of the key purposes of the role

To work closely with other team members to

·         Support the Group Company Secretary with providing advice on company secretarial and corporate governance matters within the SG Kleinwort Hambros Group.

·         Complete all structured and unstructured learning as part of the apprenticeship programme.


Summary of responsibilities

·         Group Company Secretariat Team

Ø  To assist the team with ad hoc day to day company queries from the business, including group company information, company law, financial accounting and regulatory matters which may require the candidate to conduct general research

Ø  Maintenance of the Company Secretariat internal dashboard

Ø  Undertaking ad hoc projects as may arise

·         Committee and Board Services

Responsible for:

Ø  Providing quality support and assistance by ensuring the efficient delivery of professional company secretarial services. 

Ø  To arrange board meetings, preparing agendas, attending meetings and minuting meetings (executive committees):

Ø  To create board meetings on the electronic portal

Ø  To assist in the maintenance of the electronic signatory portal

§     Cooperation with other departments

Responsible for

Ø Working with Compliance to ensure all relevant regulatory requirements are met with regards to appointment of directors to regulated entities

Ø Working with the Finance team on the accounts process

§     Other expectations

Responsible for

Ø Embodying the behaviours within the Kleinwort Hambros Code of Conduct and the regulatory Conduct Rules requirements

Performing all duties in accordance with the principles outlined in the Kleinwort Hambros Code of Conduct, as well as the policies and procedures relevant to personal responsibilities, to ensure adherence to a culture that treats clients fairly and focuses on the long term sustainability of client relationships


Level of Autonomy and Authority

Escalate any urgent matters to the Head of Secretariat team
