Description of the Business Line or Department

The Corporate Administration Office in London (SEGL/CAO) is a team which is part of the Corporate Secretariat (SEGL) Service Unit reporting to the General Counsel, London (SEGL/LGL).

SEGL/CAO ensures effective and consistent corporate administration and governance of SG London Branch and the Group’s UK subsidiaries[1]  and is responsible for: (i) corporate governance (oversight and supervision of the internal governance and corporate secretarial administration of SG’s UK’s subsidiaries; (ii) Senior Manager coordination (consistency in Senior Management framework and governance for those managers subject to the Senior Manager & Certification Regime (SM&CR) for all UK BU/SUs including coordination and update of the Management Responsibility Map; (iii) Policy Register management (including  maintaining the Policy Register,  setting policy standards for local policies; and (iv) Culture and Conduct coordination supporting UK BUs and SUs in embedding the UK culture and conduct programme.

Summary of the key purposes of the role

Support the UK Head of Governance and Culture & Conduct and the other members of the team in:

  • Oversight of company secretarial administration of UK subsidiaries  
  • Oversight and coordination of the effective running of all SGLB and SGIL executive and transversal committees
  • Senior Manager coordination within SGLB and SGIL
  • Mandatory Normative Documentation Register and Procedure on Mandatory Normative Documentation ownership
  • UK Culture and Conduct coordination

External representation of SG in the UK with industry groups, financial services bodies and committees relevant to the role

Summary of responsibilities

Support the UK Head of Governance and Culture & Conduct and the other members of the team in:

  • Corporate Governance

Overall oversight/supervision of the effective running of all SGLB and SGIL executive and transversal committees including:

  • Inventory of committees
  • Coordination Role with Board and Committee Chairs ensuring ToRs remain up to date, reviewed within the review cycle and align with best practice guidance
  • Collation and oversight of the corporate governance framework approved by the SGLB Exco or the SGIL Board
  • Maintenance of repository of committee and governance documentation
  • Production of MI on the effectiveness of committees and UK governance
  • Policy Register
  • Maintenance of the MND register (single repository) for all local policies
  • Liaison with policy owners to ensure regular policy updates
  • Production of MI to management
  • Culture and Conduct Coordination

Assist the team as required with the following responsibilities:

  • Coordinate and assist with embedding of the Culture and Conduct programme and Group values across the UK platform
  • Compilation of the UK C&C Roadmap
  • Coordination of the C&C Lead Partners
  • Participate in Group C&C activities and meetings and support of Group staff engagement initiative
  • SG external representation
