Responsibilities

Role:

Paralegal to cover mainly EMTN products of the group currently conducted from a Japan local subsidiary duly registered as type 1 financial instruments business operator.  The role itself is situated in Tokyo.

Reporting to the Head of Legal in Japan, the successful candidate will handle matters in relation to:

  • Filings of the documents in relation to the secondary offering of EMTN issued by Societe Generale in Japan;
  • Filings of the documents in relation to the continuous disclosure obligation of Societe Generale (annual securities report, semi-annual securities report, extraordinary report);
  • Prepare Final Terms in relation to the private placement of EMTN in Japan;
  • Support the automation process of Final Terms in relation to item 3 above;
  • Support administrative tasks of the head of Tokyo Legal and administrative matters for the team (not for the individual);
  • Support some of the administrative tasks of senior lawyers of Tokyo Legal;
  • Review and negotiation of Non-Disclosure Agreements and outsourcing agreements; and
  • Master agreements in general (ISDA Master Agreement, GMSLA, GMRA and JSDA).

The successful candidate will: (i) coordinate with external counsel on items 1 and 2 above during the life of a transaction, and with the Hong Kong office and Head Office in Paris on all the items above as the need arises; and (ii) handle transversal or ancillary issues that may arise in connection with the above.  The candidate is expected to handle basic matters autonomously relating to these items but he/she is always welcomed by the head of Tokyo Legal or senior lawyers in the team for support as needed.

In relation with the above items, items 1, 2, 5, and 6 will be the matters that would be requested from the beginning.

Once he/she is able to absorb these tasks without having difficulties, he/she is expected to handle item 3 and 4.  If he/she is able to handle all these items, then, he/she will be trained by the head of Tokyo Legal/senior lawyers in Tokyo Legal in relation to items 7 and 8 and ultimately be able to handle matters relating to items 7 and 8.  

Profile required

Required Competencies/Qualifications

  • Approximately 5-15 years’ experience as a paralegal, ideally in a major law firm or investment bank;
  • Japanese language (both written and spoken) is essential;
  • Good interpersonal and communication skills and a command of spoken and written English;
  • Team spirit and commitment;
  • Initiative and the ability to work independently for basic matters, while respecting reporting procedures;
  • Positive attitude with a willingness to learn and achieve;
  • Able to manage time and juggle competing priorities; and
  • Discipline and professionalism: strong organizational, time management and prioritization skills; the ability to work under time pressure and manage deadlines.
