About the team:
Distribution & Credit Solutions (DCS) is a joint team between SG’s Global Banking (GLBA) and Markets (MARK) divisions. The DCS business arranges, advises and provides financing to clients of the bank (including corporates, financial institutions, asset managers, financial sponsors) across a wide range of Fund Finance and Securitisation products.
The DCS business revolves around four key functions:
· Origination: covering structuring, origination, advisory and execution of fund finance and securitisation products for clients of the bank and for the bank’s own derisking solutions;
· Syndication: covering both debt capital markets and liquid products (corporate IG, leveraged loans and high yield bonds) and less liquid structured products (fund financing and real assets) managing the bank’s underwriting books;
· Credit Trading: covering flow, structured credit and loans with their respective financing under unified credit trading books under MARK supervision;
· Credit Sales: covering public credit sales, private sales in charge of banks and some institutional investors as well as asset specialists and credit-insurance under MARK supervision.
Within DCS Origination, the Fund Finance Solutions (FFS) team provides asset managers with a range of fund financing products:
Subscription lines for closed end alternative investment funds, primarily secured over investors’ uncalled capital commitments
· Asset Backed Loans (ABL) to credit funds, primarily secured over portfolios of debt obligations (broadly syndicated loans, middle market loans, infra loans etc)
· NAV lending to alternative investment funds, primarily secured over private equity and infra equity assets
· NAV lending to secondaries funds, primarily secured over portfolios of limited partnership investments in alternative investment funds
· Lending to asset managers, primarily secured over portfolios of hedge fund shares
· Arranging and advising on rated note feeder funds and collateralised fund obligations
Summary of Key Purposes of the Role:
The European Fund Financing Solutions team is seeking to hire a Vice President / Director to support the origination, structuring, execution and portfolio management of complex fund-level and asset-backed financing transactions across the alternative investment landscape.
The role will focus on asset-backed lending and structured fund finance solutions, including NAV-based facilities and rated fund structures, for leading alternative asset managers and investment funds across Europe.
The successful candidate will play a key role in growing the franchise across private credit, private equity, infrastructure, secondaries and hedge fund strategies, working closely with internal credit, legal, structuring and distribution teams.
Responsibilities:
Origination & Client Coverage
· Originate, structure and execute fund-level and asset-backed financing solutions for European alternative asset managers and funds.
· Work with clients to understand financing needs and provide tailored solutions including structuring transaction deal terms.
· Develop and maintain relationships with GPs, fund CFOs, treasurers and investment professionals.
· Partner with coverage, capital markets and distribution teams to deliver integrated financing and structuring solutions.
· Prepare pitch materials.
Structuring & Due Diligence
· Review fund documents and asset portfolio
· Create term sheets
· Prepare borrowing base calculations in Excel
· Lead client due diligence meetings
· Prepare internal transaction memos to obtain credit and business committee approvals
· Support documentation negotiation with external counsel and client advisors.
Transaction Execution
· Manage external counsel and syndicate lenders to ensure timely transaction closing and syndication
· Coordinate execution processes across internal stakeholders including KYC, Credit, Legal, Risk, Operations and Finance.
Portfolio & Risk Management
· Work with SG’s Credit Portfolio Management (CPM) team to monitor and manage an active portfolio of NAV and asset-backed facilities.
· Review collateral performance, valuations, compliance and covenant performance.
· Proactively manage amendments, waivers, upsizes and refinancings.
Franchise Development
· Contribute to product development and innovation across fund finance and structured fund solutions.
· Support junior team members through coaching and transaction oversight.
· Represent the platform in client meetings, industry events and internal forums.
Profile required
Technical:
· Ability to understand complex credit structures, their dynamics and the related instruments, including credit and rates derivatives to provide relevant capital markets products, with a particular focus on asset-backed products, markets, and regulations
· Ability to understand exotic credit derivatives in a markets environment
· Responsibility – awareness and understanding of risks (conduct, reputational, financial, etc.) for DCS, GLBA, and SG Group, and ability to act responsibly in line with SG Group Values, Code of Conduct, and other applicable rules & regulations
